Contractors, Maintenance and Third Party Suppliers
From time to time, Ivy may, at the Host’s request or where reasonably necessary in connection with the management of the Property, arrange for third party contractors, tradespeople, cleaners, maintenance providers or other suppliers (“Suppliers”) to attend the Property and carry out works or provide services.
The Host acknowledges and agrees that:
- Ivy acts solely as an intermediary and coordinator in arranging Suppliers on the Host’s behalf;
- all Suppliers are independent contractors and are not employees, workers, partners or agents of Ivy; and
- the Host is under no obligation to use any Supplier recommended or introduced by Ivy and remains free at all times to appoint alternative contractors or service providers of their own choosing.
Unless expressly agreed otherwise in writing, any works or services carried out by a Supplier are deemed to be supplied directly to the Host, notwithstanding that:
- Ivy may recommend, introduce, coordinate, schedule or facilitate the Supplier’s attendance;
- invoices may be addressed to or paid by Ivy on the Host’s behalf;
- the cost of such works or services may be paid by Ivy on the Host’s behalf and subsequently recharged to the Host;
- such costs may be deducted from rental income or any other monies otherwise held or payable by Ivy to the Host; and/or
- Ivy may charge an administration, coordination or handling fee in connection with arranging or overseeing such works or services.
For the avoidance of doubt, none of the foregoing shall cause Ivy to assume responsibility or liability for any works or services performed by any Supplier.
While Ivy will use reasonable care in selecting reputable Suppliers, Ivy does not warrant or guarantee the quality, suitability, timing, legality or outcome of any works or services carried out by any Supplier and shall not be liable for any loss, damage, defect, delay, negligence, omission or other act or default of any Supplier.
To the fullest extent permitted by law, Ivy shall have no responsibility or liability in respect of:
- the performance, non-performance or defective performance of any Supplier;
- any damage to the Property or contents caused by any Supplier;
- any injury, loss, cost or claim arising from works or services carried out by any Supplier; or
- any contractual or payment dispute between the Host and any Supplier.
Any warranties, guarantees or remedies relating to works or services provided by a Supplier shall be the responsibility of, and enforceable directly against, the relevant Supplier.
In the case of emergency, urgent or time-sensitive issues affecting the safety, security, habitability or integrity of the Property, its contents, guests or third parties, Ivy shall be entitled (but not obliged) to instruct Suppliers and authorise works on the Host’s behalf without prior approval up to a limit of £500 plus VAT in respect of any one incident or issue.
The Host authorises Ivy to pay or settle invoices from Suppliers on the Host’s behalf and to reimburse itself for any such payments, together with any applicable administration, coordination or handling fees, including by deduction from rental income or any other monies otherwise held or payable by Ivy to the Host.
